Strona internetowa i Platforma s\u0105 w\u0142asno\u015bci\u0105 Factris PL1 sp. z o.o. zarejestrowanej w polskim KRS za numerem 0000915107 oraz Factris Holding B.V., zarejestrowanej w holenderskim CoC pod numerem KvK 6866646 („Factris”) i jej licencjodawc\u00f3w.<\/p>\n
(b) Wyra\u017caj\u0105c zgod\u0119 na Regulamin i uzyskuj\u0105c dost\u0119p do Platformy, gwarantujesz Factris PL1 sp. z o.o., \u017ce<\/p>\n
(i) u\u017cytkownik ma uko\u0144czone 18 lat; i<\/p>\n
(ii) \u017ce masz wyra\u017ane lub dorozumiane prawo i upowa\u017cnienie do zaakceptowania Regulaminu w imieniu i na rzecz Faktoranta (zgodnie z definicj\u0105 poni\u017cej) oraz do zwi\u0105zania Faktoranta Regulaminem.<\/p>\n

(a) Dla cel\u00f3w Regulaminu:<\/p>\n
„Umowa”<\/strong> oznacza Umow\u0119 \u015awiadczenie Us\u0142ug Faktoringowych Factris, jej harmonogramy, Regulamin \u015awiadczenia Us\u0142ug Faktoringowych przez Factris wraz ze wszystkimi za\u0142\u0105cznikami i harmonogramami do niniejszej Umowy, kt\u00f3rych Stron\u0105 jest lub by\u0142 Faktorant.<\/p>\n „Wyznaczony Pracownik”<\/strong> oznacza pracownika Faktoranta, kt\u00f3ry jest upowa\u017cniony przez Faktoranta do uzyskiwania dost\u0119pu do Platformy i korzystania z niej w jej imieniu.<\/p>\n „W\u0142asno\u015b\u0107 intelektualna”<\/strong> oznacza patenty, znaki towarowe, znaki us\u0142ugowe, prawa (zarejestrowane lub niezarejestrowane) do wszelkich wzor\u00f3w, zg\u0142osze\u0144 do kt\u00f3rejkolwiek z powy\u017cszych nazw handlowych lub handlowych, prawa autorskie (w tym prawa do oprogramowania komputerowego i prawa do topografii; know-how, tajemnice handlowe, wynalazki, tajne formu\u0142y i procesy, lista Faktorant\u00f3w i Kontrahent\u00f3w oraz 6866646 („Factris”)<\/strong> i udost\u0119pniane Faktorantowi w celu administrowania fakturami oraz u\u0142atwienia zakupu wierzytelno\u015bci na mocy niniejszej Umowy.<\/p>\n „Faktorant”<\/strong> oznacza ka\u017cd\u0105 osob\u0119, kt\u00f3ra zawar\u0142a i jest lub by\u0142a stron\u0105 Umowy.<\/p>\n (b) O ile nie okre\u015blono inaczej w niniejszym Regulaminie lub kontekst nie wymaga inaczej, s\u0142owa i wyra\u017cenia u\u017cyte w niniejszym Regulaminie maj\u0105 znaczenie i konstrukcje przypisane im w odpowiedniej Umowie.<\/p>\n <\/p>\n (a) Dost\u0119p do Platformy jest chroniony identyfikatorami u\u017cytkownik\u00f3w i has\u0142ami.<\/p>\n (b) Identyfikatory Faktoranta s\u0105 specyficzne dla Wyznaczonych Pracownik\u00f3w Faktoranta.<\/p>\n (c) Faktorant zgadza si\u0119, \u017ce nie zezwoli \u017cadnej Osobie (innej ni\u017c Wyznaczeni Pracownicy) na korzystanie z identyfikator\u00f3w Faktoranta w celu uzyskania dost\u0119pu do Platformy i korzystania z niej.<\/p>\n (d) Faktorant jest odpowiedzialny za zachowanie \u015bcis\u0142ej poufno\u015bci identyfikator\u00f3w i hase\u0142 Faktoranta wydanych Faktorantowi na mocy Umowy w przypadku wszelkich op\u0142at, szk\u00f3d lub strat poniesionych lub poniesionych w wyniku niedope\u0142nienia tego obowi\u0105zku przez Faktoranta.<\/p>\n (e) Factris nie ponosi odpowiedzialno\u015bci za jakiekolwiek wy\u0142\u0105czy dost\u0119pu do okre\u015blonych hase\u0142 lub identyfikator\u00f3w, gdy zostanie o to poproszony przez Faktoranta.<\/p>\n (f) Je\u015bli Faktorant dowie si\u0119 o nieuprawnionym u\u017cyciu identyfikator\u00f3w Faktoranta lub innej potrzebie wy\u0142\u0105czenia identyfikatora ze wzgl\u0119d\u00f3w bezpiecze\u0144stwa, Faktorant niezw\u0142ocznie powiadomi Factris lub Serwisanta, a Factris niezw\u0142ocznie wy\u0142\u0105czy takie identyfikatory.<\/p>\n (g) Faktorant b\u0119dzie prowadzi\u0142 pisemn\u0105 list\u0119 pracownik\u00f3w wyznaczonych przez Faktoranta z zezwoleniem na dost\u0119p i korzystanie z Platformy w imieniu Faktoranta w ramach Platformy.<\/p>\n (h) Faktorant zapewni, \u017ce Wyznaczeni Pracownicy przestrzegaj\u0105 niniejszego Regulaminu podczas uzyskiwania dost\u0119pu do Platformy lub korzystania z niej.<\/p>\n <\/p>\n (a) Faktorant i jego Wyznaczeni Pracownicy mog\u0105 uzyskiwa\u0107 dost\u0119p do informacji dost\u0119pnych za po\u015brednictwem Platformy i korzysta\u0107 z nich wy\u0142\u0105cznie na warunkach Umowy, w tym niniejszego Regulaminu, oraz w celu prowadzenia w\u0142asnej wewn\u0119trznej dzia\u0142alno\u015bci gospodarczej Sprzedaj\u0105cego.<\/p>\n (b) Sprzedawcy i jego Wyznaczonym Pracownikom surowo zabrania si\u0119 \u0142amania \u015brodk\u00f3w bezpiecze\u0144stwa Platformy lub podejmowania pr\u00f3b ich wykonania.<\/p>\n <\/p>\n (a) Faktorant ponosi wy\u0142\u0105czn\u0105 odpowiedzialno\u015b\u0107 za bezpiecze\u0144stwo, poufno\u015b\u0107 i integralno\u015b\u0107 wszystkich informacji i wiadomo\u015bci, kt\u00f3re Faktorant otrzymuje, przesy\u0142a lub przechowuje na Platformie w zakresie, w jakim takie informacje i wiadomo\u015bci znajduj\u0105 si\u0119 pod kontrol\u0105 Faktoranta.<\/p>\n (b) Factris b\u0119dzie odpowiedzialna za udzielenie Wyznaczonym Pracownikom dost\u0119pu do Platformy i korzystania z niej.<\/p>\n (c) Faktorant ponosi wy\u0142\u0105czn\u0105 odpowiedzialno\u015b\u0107 za autoryzowany lub nieautoryzowany dost\u0119p lub korzystanie z konta Faktorant przez jak\u0105kolwiek Osob\u0119, z wyj\u0105tkiem sytuacji gdy wynika to z zaniedbania przez Factris.<\/p>\n <\/p>\n (a) Chocia\u017c Factris zgadza si\u0119 wykorzystywa\u0107 informacje Faktoranta wy\u0142\u0105cznie w spos\u00f3b dozwolony w niniejszej Umowie, Faktorant przyjmuje do wiadomo\u015bci, \u017ce Faktorant nie oczekuje prywatno\u015bci w odniesieniu do Internetu og\u00f3lnie.<\/p>\n (b) Faktorant przyjmuje do wiadomo\u015bci, \u017ce jego adres IP jest przesy\u0142any i rejestrowany z ka\u017cd\u0105 wiadomo\u015bci\u0105 wysy\u0142an\u0105 przez Faktoranta na Platform\u0119.<\/p>\n <\/p>\n (a) Faktorant przyjmuje do wiadomo\u015bci i zgadza si\u0119, \u017ce Faktorant ponosi odpowiedzialno\u015b\u0107 za wszelkie dzia\u0142ania os\u00f3b lub podmiot\u00f3w uzyskuj\u0105cych dost\u0119p do Platformy i korzystaj\u0105cych z niej przy u\u017cyciu Identyfikator\u00f3w Faktoranta i hase\u0142, niezale\u017cnie od tego, czy Faktorant upowa\u017cni\u0142 takie osoby lub podmioty do dost\u0119pu i korzystania z Platformy.<\/p>\n (b) Niniejszy punkt pozostanie w mocy po rozwi\u0105zaniu lub wyga\u015bni\u0119ciu Umowy.<\/p>\n <\/p>\n Faktorant nie b\u0119dzie i zapewni, \u017ce Wyznaczeni Pracownicy nie b\u0119d\u0105 korzysta\u0107 z Platformy w celu:<\/p>\n (a) zak\u0142\u00f3cenia dzia\u0142ania lub uzyskania nieautoryzowanego dost\u0119pu do innych kont na Platformie lub innych element\u00f3w sieci komputerowej;<\/p>\n (b) u\u017cywania jakichkolwiek urz\u0105dze\u0144, oprogramowania lub procedur, w tym mi\u0119dzy innymi wirus\u00f3w, koni troja\u0144skich, robak\u00f3w, bomb zegarowych i robot\u00f3w anuluj\u0105cych, kt\u00f3re uszkadzaj\u0105 lub utrudniaj\u0105 lub maj\u0105 na celu uszkodzenie lub utrudnienie prawid\u0142owego dzia\u0142ania strony internetowej lub bezprawnego przechwycenia jakiegokolwiek oprogramowania, danych lub innych informacji ze strony internetowej;<\/p>\n (c) podejmowania jakichkolwiek dzia\u0142a\u0144, kt\u00f3re nak\u0142adaj\u0105 nieuzasadnione lub nieproporcjonalne obci\u0105\u017cenie na infrastruktur\u0119 Factris.<\/p>\n <\/p>\n (a) Faktorant zgadza si\u0119, \u017ce Platforma mo\u017ce by\u0107 od czasu do czasu niedost\u0119pna lub nieoperacyjna z wielu powod\u00f3w, w tym:<\/p>\n (i) nieprawid\u0142owe dzia\u0142anie sprz\u0119tu;(ii) okresowe procedury konserwacji lub naprawy, kt\u00f3re mog\u0105 by\u0107 podejmowane od czasu do czasu;(iii) przyczyny pozostaj\u0105ce poza kontrol\u0105 Factris lub kt\u00f3rych Factris nie mo\u017ce racjonalnie przewidzie\u0107; lub (iv) w innym czasie wed\u0142ug wy\u0142\u0105cznego uznania Factris.<\/p>\n (b) Factris zastrzega sobie prawo, wed\u0142ug w\u0142asnego uznania i bez uprzedzenia, w dowolnym czasie i z dowolnego powodu, do:<\/p>\n (i) usuni\u0119cia lub zablokowania dost\u0119pu do ca\u0142o\u015bci lub cz\u0119\u015bci Platformy; lub (ii) zawieszenia dost\u0119pu Faktorant do ca\u0142o\u015bci lub cz\u0119\u015bci Platformy lub korzystania z niej.<\/p>\n <\/p>\n (a) Ca\u0142y projekt strony internetowej, tekst, grafika oraz wyb\u00f3r i uk\u0142ad zawarty na Platformie s\u0105 chronione prawem autorskim.<\/p>\n (b) Strona internetowa jest chroniona prawem autorskim i innymi prawami w\u0142asno\u015bci intelektualnej.<\/p>\n (c) Faktorant przyjmuje do wiadomo\u015bci, \u017ce strona internetowa i wszelkie zwi\u0105zane z ni\u0105 prawa w\u0142asno\u015bci intelektualnej s\u0105 w\u0142asno\u015bci\u0105 Factris lub jej licencjodawc\u00f3w.<\/p>\n (d) Wszelkie prawa, kt\u00f3re nie zosta\u0142y wyra\u017anie przyznane w niniejszych Warunkach u\u017cytkowania, s\u0105 zastrze\u017cone dla firmy Factris i jej licencjodawc\u00f3w.<\/p>\n (e) Faktorant zgadza si\u0119 nie powiela\u0107, nie kopiowa\u0107, nie sprzedawa\u0107, odsprzedawa\u0107 ani wykorzystywa\u0107 \u017cadnej cz\u0119\u015bci strony internetowej ani \u017cadnego dost\u0119pu do strony internetowej z wyj\u0105tkiem przypadk\u00f3w dozwolonych przez niniejszy Regulamin.<\/p>\n (f) Jakiekolwiek wykorzystanie tre\u015bci, kt\u00f3re nie s\u0105 wyra\u017anie dozwolone w niniejszym Regulaminie, stanowi naruszenie Regulaminu i mo\u017ce narusza\u0107 prawa autorskie, znaki towarowe i inne prawa.<\/p>\n (g) Linki do stron, kt\u00f3re s\u0105 w\u0142asno\u015bci\u0105 i s\u0105 utrzymywane przez strony trzecie lub przez jakikolwiek rz\u0105d, agencj\u0119 rz\u0105dow\u0105 lub organ, mog\u0105 by\u0107 osadzone na stronie internetowej.<\/p>\n (h) Factris nie ponosi odpowiedzialno\u015bci za te strony i nie mo\u017ce kontrolowa\u0107 polityki prywatno\u015bci ani ich zawarto\u015bci.<\/p>\n (i) Wszelkie nieautoryzowane lub niezatwierdzone korzystanie z Platformy i powi\u0105zanej strony internetowej b\u0119dzie stanowi\u0107 naruszenie praw w\u0142asno\u015bci intelektualnej i mo\u017ce narazi\u0107 wszelkie osoby odpowiedzialne na wszelkie sankcje cywilne i karne przewidziane w krajowych i mi\u0119dzynarodowych prawach autorskich, prawach odno\u015bnie znak\u00f3w towarowych oraz innych prawach i traktatach.<\/p>\n (j) Faktorant jest ponadto zobligowany do nie zacierania, nie zmienianie ani usuwania jakichkolwiek informacji o prawach w\u0142asno\u015bci zawartych na Platformie jak i w winnych udost\u0119pnionych mu materia\u0142ach.<\/p>\n <\/p>\n Dost\u0119p do Platformy i jej zawarto\u015bci mo\u017ce nie by\u0107 legalny dla niekt\u00f3rych Os\u00f3b w niekt\u00f3rych krajach.<\/p>\n <\/p>\n Niniejsze Warunki u\u017cytkowania b\u0119d\u0105 regulowane i interpretowane zgodnie z prawem polskim, a Terms of use<\/h1>\n \n
1. Introduction<\/h2>\n(a) These standard terms and conditions of use (the \"Terms of Use\"), which may be amended from time to time, govern the use of the Platform (as defined below) which is accessible through www.factris.com. The website and Platform are the property of Factris Holding B.V., registered with the Dutch CoC under KvK no. 6866646 (\u201cFactris\u201d) and its licensors.\n\n(b) When you agree to the Terms of Use and obtain access to the Platform you warrant to Factris Holding B.V. that\n

Definitions<\/h2>\n(a) For the purposes of the Terms of Use:\n\n \"Agreement\"<\/strong> means the Factris Receivables Purchase Agreement, the schedules thereto, the Standard Terms and Conditions together with including all exhibits and schedules hereto and thereto and to which a Seller is or has been a party to.\n\n \"Designated Employee\"<\/strong> means an employee of the Seller who is authorised by the Seller to access and use the Platform on its behalf.\n\n\"Intellectual Property\"<\/strong> means patents, trademarks, service marks, rights (registered or unregistered) in any designs, applications for any of the foregoing, trade or business names, copyright (including rights in computer software and topography rights; know-how, trade secrets, inventions, secret formulae and processes, list of Sellers and customers and other proprietary knowledge and information; internet domain names; rights protecting goodwill and reputation; database rights, moral rights and all rights and forms of protection having equivalent effect, anywhere in the world.\n\n\"Platform\"<\/strong> means the online systems provided by Factris Holding B.V., Amsterdam, CoC 6866646 (\u201cFactris\u201d)<\/strong> and made available to Seller to Post Invoices and to facilitate the purchase of Receivables hereunder.\n\n\u201cSeller\u201d<\/strong> means each person who has entered into and is or has been a party to a respective Agreement.\n\n(b) Unless otherwise defined in these Terms of Use or the context otherwise requires, words and expressions used in these Terms of Use have the meanings and constructions ascribed to them in the respective Agreement.\n\n \n
3. User ID and Password<\/h2>\n(a) Access to the Platform is protected by user IDs and passwords.\n\n(b) The Seller's IDs are specific to the Seller's Designated Employees.\n\n(c) The Seller agrees that it will not allow any Person (other than the Designated Employees) to use the Seller's IDs to access and use the Platform.\n\n(d) The Seller is responsible for maintaining the strict confidentiality of the Seller's IDs and passwords issued to the Seller under the Agreement for any charges, damages, or losses incurred or suffered as a result of the Seller's failure to do so.\n\n(e) Factris is not liable for any harm caused by or related to the theft of the Seller's IDs, the Seller's disclosure of the Seller's IDs, or the Seller's authorisation to allow any Person other than its Designated Employees to access and use the Platform using the Seller's IDs, except where Factris fails to terminate access to the specified passwords or IDs when directed to do so by the Seller.\n\n(f) If the Seller becomes aware of any unauthorised use of the Seller's IDs or other need to deactivate an ID due to security concerns the Seller shall notify Factris or the Servicer immediately and Factris shall immediately deactivate such IDs.\n\n(g) The Seller will maintain a written list of the employees designated by the Seller with the permission to access and use the Platform on behalf of the Seller within the Platform.\n\n(h) The Seller will ensure that Designated Employees comply with these Terms of Use when accessing or using the Platform.\n\n \n
4. Scope of Rights<\/h2>\n(a) The Seller and its Designated Employees are permitted to access and use the information available through the Platform only under the terms and conditions of the Agreement, including these Terms of Use, and for Seller's own internal business.\n\n(b) The Seller and its Designated Employees are strictly prohibited from defeating the Platform's security measures or attempting to do so.\n\n \n
5. Security<\/h2>\n(a) The Seller will be solely responsible for the security, confidentiality and integrity of all information and messages that the Seller receives, transmits through, or stores on the Platform to the extent that such information and messages are in the control of the Seller.\n\n(b) Factris will be responsible for granting Designated Employees access to and use of the Platform.\n\n(c) The Seller will be solely responsible for any authorised or unauthorised access to or use of the Seller's account by any Person, except to the extent that it arises through the negligence or breach of Factris.\n\n \n
6. Privacy<\/h2>\n(a) Although Funder agrees to utilise the information of the Seller only as permitted in this Agreement, the Seller acknowledges that the Seller has no expectation of privacy with respect to the internet generally.\n\n(b) The Seller acknowledges that its IP address is transmitted and recorded with each message the Seller sends to the Platform.\n\n \n
7. Responsibility for use of ID and Passwords<\/h2>\n(a) The Seller acknowledges and agrees that the Seller will be liable for all of the actions of individuals or entities accessing and using the Platform utilising the Seller IDs and passwords, regardless of whether the Seller has authorised such individuals or entities to access and use the Platform.\n\n(b) This section will survive the termination or expiration of the Agreement.\n\n \n
